New regulations of the Public Registry of Commerce for the contribution of virtual assets to Companies

On July 15, 2024, the Public Registry of Commerce (“PRC”)published in the Official Gazette Resolution No. 15/2024 (the “Resolution”), which authorizes shareholders to contribute capital to companies with virtual assets.

Shareholders must demonstrate that they had previously owned such assets or that these virtual assets have been acquired specifically for this purpose. These assets must be deposited in a platform or virtual wallet registered in the name of the company, which must be associated with a Virtual Asset Service Provider (“PSAV”) registered with the National Securities Commission (“CNV”), domiciled in Argentina and in compliance with current regulations.

Additionally, the PSAV is required to issue a statement confirming that the virtual assets are deposited in the company’s account and that, if necessary, they can be forcibly executed. Since the IGJ is the main authority for the registration of companies in the City of Buenos Aires and other jurisdictions in Argentina, it is expected that this regulation will serve as a model for the creation of new regulations in other regions of the country.

This regulation will become effective on November 1, 2024.
