Expansion of Registration Entities for the Recording of Mortgage Purchase Agreements

On February 27, 2026, General Resolution No. 1114/2026 (the “Resolution”) issued by the National Securities Commission (“Comisión Nacional de Valores, the “CNV”) was published in the Official Gazette of the Argentine Republic. The Resolution expands the range of entities authorized to carry out the recording of mortgage purchase agreements (boletos hipotecarios).

Specifically, the Resolution broadens the universe of entities permitted to record purchase and sale agreements, as well as any other agreements promising the conveyance of ownership or surface rights over completed or projected units developed under the horizontal property regime or other land subdivision regimes, in cases involving future real estate assets for which possession cannot yet be exercised.

The entities now authorized to perform such recording activity include Custody, Registration and Payment Agents (Agentes de Custodia, Registro y Pago, “ACRYP”), clearing houses, markets, the Central Securities Depository (Agente Depositario Central de Valores Negociables, “ADCVN”), financial institutions authorized to operate under Financial Entities Law (Ley de Entidades Financieras) Law No. 21,526, and entities previously registered as Regional Representative Entities for such activity.

The Resolution further clarifies that this recording activity may be conducted outside the scope of the capital markets and beyond the regulatory authority of the CNV.

The Resolution entered into force on March 2, 2026.
