New Rules of the Public Registry of Commerce for remote meetings.

General Resolution 8/2022 of the Public Registry of Commerce was published in the Official Gazette on July 14, 2022 (the “Resolution”).

The Resolution modifies General Resolution IGJ No. 11/2020 that in its section 3 provided the following: “… that for the period in which, by order of the Executive Power, the free circulation of people in general as a result of the state of health emergency declared by Emergency Decree No. 297/2020 and its eventual extensions, meetings of the administrative or governing body of companies, civil associations or foundations shall be admitted to be carried out remotely using computer or other digital media or platforms… even in cases where the bylaws did not provide for this type of remote meetings. Once this period has elapsed, meetings of the administrative or governing body will only be accepted remotely using computer or digital means or platforms, when the bylaws expressly provide for this under the terms of articles 84 or 360 of the Resolution. General 7/2015”.

Therefore, the Resolution terminates the exceptional period of Resolution No. 11/20 after business days after the date of publication of this Resolution, this is on October 7, 2022 .
