Simplification of the dual listing regime for foreign companies with the CNV

On October 1, 2024, Resolution No. 1020/2024 (the “Resolution”) of the National Securities Commission (the “CNV”) was published in the Official Gazette.

Resolution 1020/2024 simplifies the dual listing regime for Foreign Companies, eliminating certain requirements in order to attract foreign issuers to list their shares in Argentina.

In particular, the requirement of registration before the public registry pursuant to Section 118 of the General Corporations Law No. 19,550 is eliminated. Now, it is sufficient to prove the domicile of the main office of the company in its jurisdiction and submit a copy of the power of attorney with sufficient powers to act in the country, or the proof of registration, if the company has a registered legal representative according to sections 118 and/or 123 of the same law.
