On June 7, 2018, Resolution No. 3/2018 (the “Resolution”) of the Argentine Business Entities Controlling Body (“IGJ”) was published in the Official Gazette. This Resolution introduces amendments to IGJ Resolution No. 7/2015 by including the obligation to obtain the official signature and sealing of corporate books via web.
The Resolution is in line with the Modernization and Simplification Plan driven by the Argentine Government and introduces the process to individualize or obtain the official signature and seal of corporate books through the “Remote Procedures” system (“TAD” – Trámites a Distancia). The steps to obtain the individualization or official signature and seal of corporate books via TAD are the following:
- The request to individualize or obtain the official signature and seal of corporate books must be performed in written by a representative of the company before a Notary Public.
- The Notary Public must file the written request made by the company’s representative via TAD using his/her digital signature, provide information from the request and perform the corresponding payments.
- Once the Notary files the process, IGJ will analyze the company’s background and records and perform observations or approve the process within 10 (ten) days.
- Finally, the Notary will be able to download the official signature and seal of the corporate book directly from TAD in order to adhere it to the physical book.
As regards notifications, IGJ will inform the Notary all observations and/or the conclusion of the request also via TAD.
The Resolution enters into force on July, 2nd, 2018.
